Member Terms & Conditions

Rockfish Valley, Nelson County, Virginia

These Terms & Conditions ("Agreement") govern access to and use of the Rockfish CoWork shared workspace, amenities, and brand. By signing up for a membership, purchasing a day pass, or entering the premises, you agree to be bound by this Agreement in full.

1. Membership & Access

1.1 Membership Types

Rockfish CoWork offers a range of access options, including memberships, and private office arrangements. Specific pricing, access hours, and included amenities for each tier are detailed in your Membership Agreement or at the point of purchase.

1.2 Personal & Non-Transferable

All memberships and access credentials are issued to the named individual or entity only. Access cards, codes, and credentials may not be shared, loaned, or transferred to any other person. Guest access must be arranged in advance through Rockfish CoWork management.

1.3 Age Requirement

Members must be 18 years of age or older. Minors may visit the premises only when accompanied by a member and must remain under that member’s direct supervision at all times.

1.4 Reservation & Cancellation

Meeting rooms, phone booths, and other reservable amenities must be booked through the designated scheduling system. Reservations canceled less than 24 hours in advance may forfeit any applicable credit. No-shows are counted against reservation privileges.

2. Payment & Billing

2.1 Fees & Invoicing

Membership fees are billed monthly in advance unless otherwise agreed in writing. Day passes and any overage charges are billed at the time of use. All fees are stated in U.S. dollars.

2.2 Late Payment

Accounts more than ten (10) days past due may result in suspension of access until the outstanding balance is resolved. Accounts more than thirty (30) days past due may result in termination of membership.

2.3 Cancellation by Member

Members may cancel their membership with thirty (30) days’ written notice. Prepaid fees are non-refundable except where required by applicable law. Cancellation does not relieve the member of outstanding obligations incurred prior to the cancellation date.

2.4 Price Changes

Rockfish CoWork reserves the right to adjust membership pricing with thirty (30) days’ advance written notice. Continued use of the space after the effective date of a price change constitutes acceptance of the new rates.

3. Professional Conduct

3.1 Community Standards

Rockfish CoWork is a professional, inclusive, and community-centered workspace. All members, guests, and visitors are expected to conduct themselves with courtesy, respect, and integrity. We are committed to maintaining a welcoming environment for all, regardless of background, profession, or affiliation.

3.2 Prohibited Conduct

The following conduct is strictly prohibited on the premises or in connection with use of the Rockfish CoWork name:

• Harassment, intimidation, or discrimination of any kind toward members, staff, or visitors

• Excessive noise, disruptive behavior, or activity that interferes with others’ ability to work

• Solicitation of other members without prior written consent from management

• Use of the space or its resources for any illegal purpose

• Possession of weapons, controlled substances, or hazardous materials on the premises

• Physical or verbal abuse directed at any person on the premises

• Misrepresentation of membership status or affiliation with Rockfish CoWork

3.3 Noise & Shared Spaces

Phone calls and video meetings should be taken in designated phone booths or private areas whenever possible. Lounge and open-work areas are shared environments — please use headphones, keep voice levels low, and be mindful of the working environment around you.

3.4 Enforcement

Rockfish CoWork management reserves the right to issue a warning, suspend access, or terminate the membership of any member who violates this Agreement or whose conduct is deemed incompatible with the community’s values. In cases of serious misconduct, removal from the premises may be immediate and without prior notice.

4. Space Use & Facilities

4.1 Permitted Use

The Rockfish CoWork space is intended for lawful professional, creative, and entrepreneurial work. Use of the space for personal social gatherings, childcare, or any commercial activity not disclosed to management is not permitted without prior written approval.

4.2 Shared Resources

Common amenities — including printers, kitchen equipment, lounge furnishings, and shared storage — are provided for reasonable professional use. Members are expected to leave shared resources clean and in good order. Excessive or abusive use of consumables or equipment may result in additional charges.

4.3 Personal Property

Rockfish CoWork is not responsible for the loss, theft, or damage of any personal property brought onto the premises. Members are encouraged to secure valuables and take belongings with them when leaving for extended periods. Overnight storage of personal items is not permitted in open or shared areas without a designated storage arrangement.

4.4 Equipment & Alterations

Members may not permanently mount, attach, or alter any part of the Rockfish CoWork premises without written approval. Any damage caused by a member to the facility, furnishings, or equipment is the member’s financial responsibility and may be charged to the account on file.

4.5 Food & Beverage

Food and non-alcoholic beverages are welcome in designated areas. Alcohol may be consumed on the premises only during approved events or by arrangement with management. Members are responsible for disposing of all food waste properly and leaving kitchen and common areas clean after use.

4.6 Animals

Well-behaved, leashed dogs are welcome at Rockfish CoWork, in keeping with the spirit of the Valley. All animals must be clean, vaccinated, and under the owner’s control at all times. Members assume full liability for any animal they bring onto the premises. Management reserves the right to ask that an animal be removed if it causes disruption or poses a health or safety concern.

5. Network & Technology

5.1 Acceptable Use

Wi-Fi and wired network access are provided for lawful business use only. Members may not use the Rockfish CoWork network for illegal file sharing, bandwidth-intensive streaming that degrades performance for others, or any activity that violates applicable law.

5.2 Security

All network traffic travels over a shared connection. Members are responsible for their own device and data security. Rockfish CoWork strongly recommends the use of a VPN for sensitive business communications and does not warrant the security of the network.

5.3 Printing & Devices

Printing is available within the monthly allotment included with your membership tier. Overages are billed at the posted per-page rate. Members may not install personal networking hardware (routers, access points, repeaters) without written approval from management.

6. Brand & Intellectual Property

6.1 The Rockfish CoWork Brand

"Rockfish CoWork," "Rockfish Co.," and all associated logos, marks, design elements, and taglines are the exclusive property of Rockfish CoWork. Members are granted a limited, non-exclusive license to identify their workspace affiliation (e.g., "based at Rockfish CoWork") in professional communications, bios, and social media profiles.

6.2 Permitted Brand References

Members may state that they work from or are members of Rockfish CoWork. Photographs taken within the space may be shared on personal or business social media with tasteful representation of the environment. Members are encouraged to tag @RockfishCoWork and use designated hashtags when sharing content from the space.

6.3 Prohibited Brand Uses

Members may not:

• Imply endorsement, partnership, or official affiliation between their business and Rockfish CoWork without written consent

• Use the Rockfish CoWork name or logo in advertising, promotional materials, or business registration documents without prior written approval

• Alter, combine, or create derivative versions of the Rockfish CoWork name or logo

• Use the brand in any way that could reasonably be interpreted as misrepresenting the nature of their relationship with Rockfish CoWork

6.4 Member Intellectual Property

Rockfish CoWork makes no claim to any intellectual property created by members while using the space. Members retain full ownership of their work product. Rockfish CoWork may not be held responsible for the infringement, misappropriation, or exposure of member intellectual property while on the premises.

6.5 Photography & Media

Rockfish CoWork staff may photograph the space for marketing and promotional purposes. If members or guests are visible in such photographs, Rockfish CoWork will make reasonable efforts to obtain consent before use. Members who do not wish to appear in marketing photography should notify management in writing.

7. Privacy & Confidentiality

7.1 Member Privacy

Rockfish CoWork respects the privacy of its members. Member contact information and business details will not be shared with third parties without consent, except as required by law or as necessary to operate the space (e.g., billing processors, emergency services).

7.2 Confidentiality Among Members

Members agree not to disclose, share, or misuse confidential business information belonging to other members or their clients that may be inadvertently overheard or observed within the space. Rockfish CoWork is a community built on trust — members are expected to treat one another’s work with the same discretion they would expect for their own.

7.3 Security Cameras

Security cameras are in operation in common areas of the space for the safety of members and property. Camera footage is retained for a limited period and is accessible only to authorized Rockfish CoWork management and law enforcement as required by law.

8. Health & Safety

8.1 General Safety

Members must familiarize themselves with emergency exits, fire extinguisher locations, and posted safety procedures. Members must not block emergency exits, tamper with safety equipment, or engage in any activity that creates a health or safety hazard.

8.2 Illness

Members who are experiencing symptoms of a communicable illness are asked not to use the space until they are no longer contagious. Rockfish CoWork reserves the right to implement additional health protocols during public health events as directed by local or state health authorities.

8.3 Liability Waiver

Use of the Rockfish CoWork premises is at the member’s own risk. Rockfish CoWork is not liable for any injury, illness, or harm that occurs on the premises unless caused by the gross negligence or willful misconduct of Rockfish CoWork staff. Members are encouraged to carry their own personal liability and health insurance.

9. Modifications & Termination

9.1 Amendments to This Agreement

Rockfish CoWork reserves the right to update these Terms & Conditions at any time. Members will be notified of material changes with at least fourteen (14) days’ advance notice via email or posted notice. Continued use of the space after the effective date of any amendment constitutes acceptance of the revised terms.

9.2 Termination by Rockfish CoWork

Rockfish CoWork may terminate a membership immediately and without refund for conduct that violates these Terms, causes harm to other members or staff, or creates legal or reputational risk for the organization. In non-emergency situations, Rockfish CoWork will endeavor to provide a written notice period of no fewer than seven (7) days.

9.3 Effect of Termination

Upon termination or expiration of membership, all access to the space and associated services will cease. Members must remove all personal belongings within the notice period. Any items left behind may be disposed of at management’s discretion after a reasonable holding period.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Nelson County, Virginia.

Acknowledgment & Signature

By agreeing, you confirm that you have read, understand, and agree to be bound by the Rockfish CoWork Member Terms & Conditions as set forth in this Agreement.
